This Website (webagencydirect.com) is owned and operated by Compare the Course Ltd (‘we’/’us’/’our’), a limited company registered in England and Wales under company number: 07762733.
It is an online platform for Web agencies / IT professionals (Professionals) who provide IT services (Services) such as Web Design, Software, Marketing, PPC (Pay per Click), SEO (Search engine optimisation) and Customers who post their IT projects (Project) to request for Proposal/Quotation from Web agencies / IT professionals that are registered on this Site.
Acceptance of Terms

Your access to and use of Webagencydirect.com ("the Website") and the Services defined below , are subject exclusively to these Terms and Conditions.

You agree not to use the Website and/or Services for any purpose that is unlawful or prohibited by these Terms and Conditions.

By using the Website and/or Services you are fully accepting the Terms and Conditions. If you do not accept these Terms and Conditions you must immediately stop using the Website and/or Services.

We reserves the right to update or amend these Terms and Conditions at any time and your continued use of the Website and/or Services following any changes shall be deemed to be your acceptance of such change. It is therefore your responsibility to check the Terms and Conditions regularly for any changes.

We may update the Website from time to time, and may change the content at any time without any prior notice.
Access to the Website

We do not guarantee that the Website or any content contained on the Website will always be available or be uninterrupted.

You are responsible for making all arrangements necessary for you to have access to the Website.

Eligibility
You must be 18 years of age or over to register on this Site.
Customer Account Registration
The Site is completely free for Customers to use. There are no charges to post the project to request for quotation/proposal.
Web Agencies/ IT Professionals need to purchase credits from us in order to provide Customers with a proposal/quotation but the only fee Customers may be liable for is the fee for any work as agreed between the Customer and the Professional.
Customers can post the IT project that they require to request for Quotation/Proposal from Web Agencies/ IT Professions. When posting the project, Customers will be asked a number of questions to enable Professionals to understand the project requirements for a proposal/quotation, if possible.
We will send each Request to a selection of Web Agencies/ IT Professions to review and decide if the Professional wants to contact the customer for the project at our discretion.
If a Web Agency/ IT Profession chooses to provide a proposal/quotation, the Customer will receive a message from the Web Agencies/ IT Professionals and/or a phone call to discuss the project requirement in details. The Customer may also be sent the Web Agencies/ IT Professions.
Web Agencies /IT Professional Account Registration & Profile
Registration is required to become a Web Agency/ IT Professional on the Site. In order to make the platform as trustworthy, secure and safe as we can without providing any personal endorsements, we endeavour but have no obligation to carry out some basic ID checks. Registration is subject to agreement by us in all cases, and we reserve the right, in our sole and absolute discretion, to decline any application for registration, without providing any reason.
Web Agency/ IT Professional must ensure that any registration details provided are accurate. To register an account with us, accurate, complete and up-to-date contact information must be provided, including name, postal address as it appears on government-issued identification, the legal name and details of business, telephone number, email address, and profile photo or company logo.
This profile is accessible to the public and to Customers.
The profile may evidence the Professionals past work through images and videos, and may include reviews from past customers and peers.
Reviews will help show Customers examples of prior work of the Professional but we do not guarantee or warrant the accuracy or authenticity of any review left about a Professional and Customers should undertake their own checks to confirm such reviews.
Our Role
This Site is an online platform where Customers post their IT project(s) in an expectation to receive a quotation/proposal from Web agencies / IT Professionals and for Web agencies / IT Professionals buys credits to respond to Customers IT project requirements with a proposal/quotation.
If the Customer wishes to proceed with a proposal for the project, the Web agencies / IT Professionals and Customer shall contract directly with each other in relation to the provision of the particular Service and Customers will be obliged to pay Professionals directly.
We do not guarantee that the Customers will receive a quotation/proposal from Web agencies / IT Professionals by posting their IT project. We also do not guarantee that the Web agencies / IT Professionals who buy our credits to contact/respond to the Customers projects will receive orders from Customers. We do not provide the Services, or make any representation or warranty about Customers, their likelihood to select Web agencies / IT Professionals, and we are not responsible for the obligations of Web agencies / IT Professionals or Customers. We have no obligations regarding Customers' payments (or any other obligations of Customers), which remain their sole responsibility under their direct contract with Professionals. Equally we are not responsible for Services or any problem or delay in providing them, or for any dispute over the amount due to be paid by Customers. We are not an agent or partner of any Web agencies / IT Professionals or Customers.
Credits
Web Agencies/ IT Professionals need to purchase credits from us in order to provide Customers with a proposal/quotation.
All charges payable by Web Agencies/ IT Professionals to purchase our credits shall be in accordance with the scale of charges and rates published from time to time by us on our web site, errors and omissions accepted, and shall be due and payable in advance. You agree that, except where otherwise specified in these terms, these fees are not refundable on any basis.
We reserve the right to alter price of our Credits without any further notice to Web Agencies/ IT Professionals.
All fees paid to us are non refundable except in circumstances set out in these Terms. You also agree not to issue a chargeback via your bank in relation to any fees charged by us. If you do so you accept that you will be liable for our costs in dealing with the chargeback and recovering any fees properly due to us under the Terms.
Users (Customers and Web Agencies/ IT Professionals) Content
Content must:

be relevant to the purpose of the Site;

where it states facts, be accurate to the best of you knowledge, information and belief; and
-
comply with applicable law in the United Kingdom and in any country from which it is submitted.
Content must not:

be unlawful in any way;
-
contain any material which infringes any intellectual property right or other right of any other person;

be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or data protection obligations;
-
contain fraudulent information;
-
contain any material which is defamatory of any person or entity;
-
be likely to mislead or deceive any person;
-
be used to impersonate any person, or to misrepresent a Customer's identity or affiliation with any person;
-
contain any material which is obscene, offensive, hateful or inflammatory;
-
be menacing, threatening, abuse or invade another´s privacy, or cause harassment, anxiety, alarm, upset, embarrassment, annoyance or inconvenience to any person;
-
contain or promote sexually explicit material;
-
promote violence or aggression;
-
promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
-
encourage, advocate, promote, solicit, invite or assist any illegal activity or unlawful act such as (by way of example only) intellectual property infringement or computer misuse;
-
be used to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
-
disrupt the normal flow of dialogue with an excessive amount of Customer Content (flooding attack) to the Site, or that otherwise negatively affects other users' ability to use the Site;
-
contain any viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
-
be posted by a third-party agent, service, or intermediary that offers to post content on behalf of others without express permission from us; or
-
give the impression that it emanates from us, if this is not the case.
Limitation of Liability
The Site is an online platform, which is intended to allow Web Agencies /IT Professionals and Customers to connect and arrange for the provision of IT Services directly with each other. Subject to the provisions of this Section, we are not responsible for and disclaim any and all liability related to the provision of Services as between Professionals and Customers.
Customers agree that their use of the Site and hiring Web Agencies /IT Professionals for IT Services is entirely at their own risk. We do not endorse any particular Web Agency /IT Professional, their reliability or ability to provide the IT Service requested. We are not liable for validating any Web Agencies /IT Professionals.
Nothing in these Terms shall limit or exclude our liability to Customers for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation or any other liability that under English law may not be limited or excluded.
Our total liability arising under or in connection with these Terms or any breach or non-performance of these Terms no matter how fundamental (including by reason of negligence) in contract, tort or otherwise shall be limited to £10.
Termination of an Account
We may terminate your account upon your request at any time.
We may, at our discretion where we consider this reasonably necessary (for example if a Customer is in breach of these Terms), immediately terminate their account and all access to the Site without prior notice.
We will not be liable to Customers and Web Agencies /IT Professionals or any third party for the termination of their account.
Governing Law and Jurisdiction
These Terms are governed by English law, and Customers agree that any dispute between Customers and us regarding them or the Site will only be dealt with by the English courts. Nothing shall prevent us from bringing proceedings to protect our intellectual property rights before any competent court.
Privacy Policy
Protecting your personal details on our website.
We know that you care how information about you is used and shared and we appreciate your trust in us to do that carefully and sensibly. This notice describes our privacy policy and forms part of our website terms and conditions (‘Website Terms’).
By accepting our Website Terms or by visiting webagencydirect.com (‘the Website’) you are accepting and consenting to the practices described in this Privacy Policy.

2.1.9. We may monitor and record communications with you (including phone conversations and emails) for quality assurance and compliance.
